Employee Stock Ownership Plan (ESOP)
An employee stock ownership plan is a retirement plan that provides a company's workforce with an ownership interest in the company. McGarvin-Moberly Construction Co. contributes cash to its ESOP on behalf of current employees (at no cost to the employee and based on annual wages). This cash is used to purchase the shares of the previous employees no longer with the comany due to retirement or termination.
Employees vest (become owners) in the stock thus purchased on their behalf over a six year period (one year=1,000 hours of service). Shares are allocated to employees and are held in an ESOP trust until the employee retires or leaves the company. The shares are then sold and the employee paid out over a 5-year period. ESOP shares are part of employees' compensation for work performed, but are not taxed until sold (retirement or termination).
